These terms and conditions (the “Terms”) apply to the Nutanix Sovereign Cloud prize draw (the “Prize Draw”). By entering the Prize Draw, you agree to be bound by these Terms:

1.Promoter: The Prize Draw is run by CDW Limited, a company registered in England and Wales with company number 02465350 whose registered office is at 1 New Change,
London, EC4M 9AF (“we”, “us” or “the Promoter”). Nutanix, Inc. and its affiliated companies is our technology partner for the wider Sovereign Cloud campaign (the “Campaign”)
but is not the promoter of the Prize Draw and is not responsible for running it.

2.Free entry – no purchase necessary: The Prize Draw is free to enter. You do not need to buy anything or make any payment to enter or to claim a prize.

3. Promotion period: You can enter between 8:00 a.m. 31st July 2026 and 5:00pm 30th September 2026 (the “Closing Date”). We will not accept any entry received before or after
this period. Our system clock is the definitive timekeeper for the Prize Draw.

4.Who can enter: The Prize Draw is open to individuals who are aged 18 or over and resident in the United Kingdom. It is not open to anyone professionally connected with the Prize
Draw, or the immediate families or households of any of them. We may ask you to prove your identity, age and eligibility, and we may refuse or disqualify any entry, or withhold any
prize, if we reasonably believe you have not complied with these Terms. Only one entry is allowed per person. We will not accept entries made automatically, in bulk, or by a third
party on your behalf.

5.How to enter: To enter, during the promotion period you must complete the contact form. An entry only counts if it meets these requirements and we receive it during the promotion
period. We will disqualify entries that are incomplete, illegible or fraudulent. We are not responsible for entries that are lost, delayed, corrupted or not received for any reason, and
proof of sending is not proof of receipt. You are responsible for any costs (including data and internet charges) of entering. By entering, you warrant that you are eligible under
these Terms, that all information you provide is true, accurate and complete, and that you are entering on your own behalf and not by using any automated method or a third party.

6.The prize: The chance is to win one of four prizes, which includes two LEGO® sets and two Feast on Cloud 9 vouchers. The prize is as stated, is personal to the winner and cannot
be transferred. There is no cash alternative and the prize cannot be exchanged, in whole or in part, for cash. If the prize (or any part of it) becomes unavailable for reasons beyond
our reasonable control, we may substitute a prize of equal or greater value. The prize does not include any cost, tax or expense not expressly stated in these Terms, and you are
responsible for any personal tax arising from receiving it.

7.Choosing the winner: We will choose the winner(s) by random draw from all valid entries received during the promotion period. The draw will take place after 30th September
2026. Our decision is final and we will not enter into correspondence about it.

8.Claiming your prize: We will contact each winner using the details in their entry. To claim your prize, you must reply and confirm your acceptance and delivery details within 5
days of us contacting you. If we cannot reach you, you do not respond in time, you decline the prize, or you are ineligible or in breach of these Terms, we may disqualify you and
draw an alternative winner. We will deliver the prize to the address you give within a reasonable time.

9.Publicity: If you win, you agree that we may publish or make available your surname and county to announce the winner, in line with the applicable advertising codes. If you object
to this, please tell us when you claim your prize and we will instead provide that information only to the Advertising Standards Authority on request. You do not have to take part in
any further publicity, but we may invite you to.

10.Data protection: We are the data controller for the personal data we collect for the Prize Draw and will handle it in line with the UK GDPR, the Data Protection Act 2018 and our
privacy notice at https://www.uk.cdw.com/site-tools/privacy/. We use your data to run the Prize Draw – checking eligibility, holding the draw, contacting winners and delivering
prizes. Where you have given consent, or we otherwise have a lawful basis, we and Nutanix may contact you with marketing about the Campaign and related products and services;
you can withdraw consent or opt out at any time as set out in our privacy notice. We keep your data only for as long as we need it for these purposes.

11.Our liability: Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything
else that cannot lawfully be limited or excluded. Subject to that, we are not liable (whether in contract, tort (including negligence), breach of statutory duty or otherwise) for any loss
or damage – whether direct, indirect or consequential – arising out of or in connection with the Prize Draw, your entry, or your acceptance, use or enjoyment of the prize. We are
not responsible for any failure or delay caused by events beyond our reasonable control. Nothing in these Terms affects your statutory rights as a consumer.

12.Changes and cancellation: We may, acting reasonably, change these Terms or suspend, cancel or withdraw the Prize Draw at any time where we need to, including for reasons
beyond our reasonable control, or to comply with any law or regulatory requirement, or where we otherwise consider it necessary or appropriate to do so, provided that we will not
unfairly prejudice participants who have already validly entered.

13.General: If any part of these Terms is found to be invalid, illegal or unenforceable, the rest will continue to apply. A delay or failure by us to exercise any right is not a waiver of it.
A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them. These Terms are the entire agreement between
us and you in relation to the Prize Draw.

14.Governing law and jurisdiction: These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject
matter or formation, are governed by and construed in accordance with the law of England and Wales. You and we each irrevocably agree that the courts of England and Wales
have exclusive jurisdiction to settle any such dispute or claim.
